The role:

Associate – CLO 3-6 pqe

 

The Associate will join a market-leading structured finance team focusing on Collateralized Loan Obligations (CLOs) and other securitisation transactions. This role involves advising global financial institutions such as investment banks, collateral managers and investors on complex CLO deals, regulatory structuring requirements, and innovative securitisation financing structures.

 

Responsibilities

  • Assist in structuring, negotiating, and executing CLO transactions and other securitisation transactions.
  • Draft, review, and negotiate offering circulars, transaction documents and documentary conditions precedent (including legal opinions and SECR memos)
  • Provide legal and regulatory advice on EU and UK risk retention rules, securitisation regulations, and market developments related thereto.
  • Work closely with arrangers, managers, and investors, as well as internal teams across multiple jurisdictions.
  • Conduct legal research on securitisation regulations and adjacent financial regulations and laws.
  • Monitor market trends and regulatory changes impacting CLO transactions.
  • Build and maintain strong client relationships, contributing to business development initiatives.

Qualifications

England and Wales qualified with 3-6 years post qualification experience from a leading international / US firm.  Lawyers qualified in other jurisdictions may be considered.

 

Experience, skills and personal attributes:

 

  • CLO transaction experience;
  • Excellent drafting and negotiation skills.
  • Strong analytical and problem-solving abilities.
  • Ability to manage multiple transactions under tight deadlines.
  • Enjoys working in a team.
  • Commercial mindset.
  • Excellent attention to detail, and ability to thrive in a fast-paced environment.
